This is a binding contract between Praxis Model LLC (a Delaware LLC, 111 NE 1st Street, 8th Floor #8928, Miami, FL 33132, USA) and you, the Client. You enter it by ticking the box marked "I have read and agree" and completing payment, confirming you accept every term below, including the refund, no-guarantee, no-third-party-reliance, limitation-of-liability, indemnity, and dispute-resolution terms. You commission the Study for business purposes as a sophisticated party at arm's length.
A bespoke professional feasibility study for your specific concept and market, made to order from your inputs. Scope is set by your order and the questionnaire completed after payment. Delivered as (a) the Study as an Excel workbook, values only, with internal formulas and source links removed to protect Praxis IP, and (b) the Thesis explaining the reasoning. The values-only format is a deliberate protection, not a defect.
Fees are as shown at checkout and exclusive of any taxes or bank charges in your jurisdiction. The full fee is payable in advance via Stripe (card or wallet), by bank transfer, or by PayPal. Praxis begins no work until payment clears. You warrant the funds are lawfully yours and your project is lawful.
Delivered within seven (7) working days, starting when you submit the questionnaire after payment clears. The clock pauses while Praxis waits on your input. If you do not complete the questionnaire within 60 days, Praxis may deliver on the information available or treat the engagement as fulfilled.
The only circumstance in which Praxis refunds is Praxis's own failure to deliver. If Praxis fails to deliver on time and does not correct that within five working days of notice, you receive a full refund, and that is Praxis's sole liability for non-delivery. Once work begins the fee is non-refundable except for that; once delivered or deemed accepted, all fees are final, including a change of mind, a decision not to proceed, disagreement with the findings or verdict, or inability to raise capital. One free revision within 14 days, within the original scope.
The Study is delivered to your email and, where provided, a secure access link that records delivery and access. You will be asked to confirm receipt. Accessing, downloading, or failing to raise a specific written objection within five working days constitutes acceptance of delivery. Each copy may carry your name as a licence watermark.
The Study is built on the information you supply; you are responsible for its accuracy. You make your own decisions. A feasibility study is analysis and opinion, not a guarantee of success, profit, financing, or any outcome. Projections depend on assumptions and conditions outside Praxis's control and actual results will differ. Praxis is not an investment, financial, legal, tax, or accounting adviser.
The Study is prepared solely for you and your project. No third party, including investors, lenders, partners, or landlords, may rely on it, and Praxis owes them no duty and accepts no liability. You may share it with your own investors for your project, on your own responsibility, making clear it is Praxis's opinion prepared for you and not a guarantee.
Praxis retains all rights in its methodology, models, templates, formulas, benchmark data, and engine (Praxis IP), protected as trade secrets. On full payment you receive a non-exclusive, non-transferable licence to use your Study for your commissioned project. You may not resell, republish, reverse engineer, or use it to build a competing service.
To the maximum extent permitted by law, Praxis's total liability is limited to the fee you paid, and Praxis is not liable for indirect or consequential loss, lost profit, revenue, investment, or financing. You will indemnify Praxis against third-party claims arising from your use or distribution of the Study, the data you supplied, your decisions, or your breach.
Any claim must be brought within 12 months. Confidentiality is mutual: Praxis never names, features, or discloses you or your project, and you keep Praxis IP confidential. Nothing restricts your honest review; you agree only not to make knowingly false or defamatory statements. The fee is non-refundable except under Section 8, and you agree not to initiate a chargeback except for genuine non-delivery, though this Agreement cannot cancel a cardholder's legal chargeback right. Governed by Delaware law; disputes go to good-faith negotiation then binding arbitration in Delaware, on an individual basis, with a jury and class-action waiver.
Praxis may decline or end an unlawful, abusive, or fraudulent engagement. The parties are independent contractors. This Agreement, your order page, and the referenced terms are the entire agreement. The version you accept at checkout governs your Study. You consent to transacting electronically.
On acceptance we record your name, email, the exact version of these terms, and the date, time, and IP of your consent as a proof-of-consent record. Work begins only after payment clears and you submit your project questionnaire.
